2. Our services
We provide Local Services Ads and paid media management, campaign landing pages, product-feed support, conversion measurement and related services. Channels, deliverables, access, price and schedule are agreed in a written proposal for each engagement.
3. Signed agreements come first
If you sign a client service agreement, proposal or order form with us, that document controls where it differs from these terms.
4. Accounts and eligibility
You must be at least 18 and buying for a business. You are responsible for accurate account information and for anyone who uses your account. Advertising, analytics and business accounts remain under your ownership and control. You authorize the access needed for the agreed work.
5. Project scope and approvals
Your written proposal or agreement sets out what we will manage or deliver, payment milestones, review stages and handover. Changes to the agreed scope, additional integrations or ongoing support are agreed separately before the additional work begins.
You provide the content, product or service information, access and approvals needed for your project. You are responsible for reviewing your offers, prices, service areas, product information, policies and other business information before the agreed launch. Responsibilities for launch checks and ongoing updates are set out in the project scope.
6. Fees, billing and renewal
- Project prices and payment milestones are set out in your proposal or agreement.
- Recurring services are billed in advance through our payment processor, Stripe, and renew automatically until canceled under the applicable agreement.
- Third-party tools and platform fees may be billed separately. Your proposal states which costs, if any, are included in our fee.
- Setup fees are non-refundable once work has started.
- Recurring prices may change with at least 30 days notice before your next renewal.
- Taxes are added where required by law.
- If a payment fails, we may pause services until the balance is paid.
7. Cancellation and minimum terms
- Month-to-month services can be canceled with 30 days written notice by email, unless your signed agreement says otherwise.
- Advertising management has a 3-month minimum term, then continues month-to-month with 30 days notice.
- Project cancellation and any remaining project payments follow your written proposal or service agreement.
- We do not provide refunds for partial billing periods.
8. Advertising
You own your ad accounts and pay ad platforms directly. Koro Digital receives manager or partner access only, which is removed when the engagement ends. Ad platform approval, eligibility, rankings, lead volume and cost per lead are controlled by the platforms and are not guaranteed.
Channel scope, reporting, any performance bonus and the data used to measure it are agreed in writing. A performance bonus is not a guarantee of results.
9. Your content responsibilities
You confirm you have the rights to the logos, photos, designs, product data, text and other information you provide or authorize us to use. Your products, offers, website policies and ads must comply with applicable laws and platform rules. You will not use our services for unlawful, deceptive or spam activity.
10. Ownership and handover
- You own your business content, customer data, advertising accounts and business accounts.
- Ownership and handover of project deliverables follow your written proposal or agreement. Paid-up clients can request the project files that the agreement provides for handover.
- Third-party platforms and tools remain subject to their owners' terms and licenses. Our work does not transfer rights we do not own.
- We keep ownership of our own pre-existing templates, tools, workflows and know-how, and may reuse general techniques. Any license or ownership arrangement for custom work is set out in the project agreement.
11. Client information and privacy
When we handle lead, customer, order or advertising information for a project, we do so on your behalf under your instructions and our agreement. You remain responsible for your business's privacy notices, consent choices and instructions about customer information.
Our Privacy Policy explains how we handle inquiries, bookings and client-project information.
12. Third-party services
Projects may rely on advertising platforms, hosting providers, analytics and consent tools, product-feed services, CRM systems and payment providers. Their terms and licenses also apply. Outages, policy changes, technical limits or price changes at those providers may affect the work. We do not control those providers.
13. No guarantees
We do not guarantee leads, bookings, rankings, sales, revenue or other results. Services are provided "as is" to the extent allowed by law.
14. Limitation of liability
To the extent allowed by law, Koro Digital is not liable for indirect, incidental or consequential damages, or lost profits or data. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim.
15. Indemnity
You agree to defend and indemnify Koro Digital against claims arising from your content, products, ads, or your breach of these terms or the law.
16. Termination
We may suspend or end services for non-payment, misuse or breach of these terms. Fees owed up to termination remain due.
